Master Subscription Agreement

This Master Subscription Agreement ("Agreement") governs your acquisition and use of the SoftHub API, software licensing infrastructure, and related services ("Services") provided by SoftHub Systems GmbH.

1. Acceptance of Terms

By registering for a SoftHub account, executing an Order Form that references this Agreement, or using the Services via our API, you agree to the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Use of API and Services

2.1 License Keys and DRM: SoftHub grants you a limited, non-exclusive, non-transferable right to access and use our REST APIs solely to generate cryptographic keys, manage subscriptions, and validate licenses for your proprietary software products.

2.2 Restrictions: You shall not (a) sell, resell, or lease the Services to a third party, (b) use the Services to store or transmit malicious code, or (c) attempt to gain unauthorized access to the Services or its related systems.

3. Fees and Payment

You agree to pay all fees specified in your selected subscription plan. Unless otherwise stated, all fees are quoted in Euros (EUR) or US Dollars (USD) and exclude applicable taxes, including Value Added Tax (VAT).

4. Service Level Agreement (SLA)

We utilize commercially reasonable efforts to make the API Services available with an uptime of 99.99%. Planned downtime will be communicated at least 48 hours in advance via our status page.

5. Governing Law and Jurisdiction

This Agreement and any disputes arising out of or related hereto shall be governed exclusively by the laws of the Federal Republic of Germany, without regard to its conflicts of laws rules. The exclusive venue for any legal proceedings shall be the competent courts in Berlin, Germany.
